RETURN MERCHANDISE AUTHORIZATION TERMS AND FORM

 

The following terms and conditions shall govern and control the Return of Merchandise Authorization (“RMA”) between the undersigned customer (“you”) and Vince, LLC (“Vince,” “we,” or “us”).

 

    1. We make a distinction between returns for different reasons, including commercial return requests, return requests in response to an error on our part, a manufacturing defect or shipping damage, any of which must be described in your RMA Request Form. Unless otherwise agree to in writing between you and Vince, we generally only accept returns for wrong orders, defective products or commercial reasons.

 

    2. An RMA is a return request for a product that you want to return to us. RMAs are processed only when the RMA Request Form is correctly and fully completed with the information that you find on your packing slip or invoice. Only items that are invoiced by us are eligible for return. By filling out the RMA Request Form, you agree to our RMA conditions as those described in this document, which supersede any other terms and conditions provided by you in connection with any purchased or returned merchandise.

 

    3. Each RMA must be authorized (approved) by your sales contact at Vince before the product may be returned. After approval you will receive an email with a unique RMA number with a validity of 45 days. Within this period, the returns must be sent to the address designated on your RMA and with your RMA number appearing outside the packaging of the returned shipment. Shipments returned without an appropriate RMA number and RMA Request Form will not be processed and /or credited.

 

    4. All goods returned for reasons other than a manufacturing defect, must be returned as new in good and saleable, unused and unworn condition within 45 days from the date of receipt by you of those goods. Notwithstanding the foregoing, returns based on a mistake by Vince in the order or shipment, must be made within 10 days after customer’s receipt of that erroneous shipment.

 

    5. Vince reserves the right to fully inspect the goods upon return to its warehouse and will, to the extent those returned goods are accepted by Vince, credit your Vince account with the amounts you originally paid for those goods. Any goods which are returned to Vince without an RMA form and RMA number specifically attributed to the same will be considered unauthorized returns and will not be credited to your account or reimbursed.

 

    6. Unless otherwise agreed in writing between you and Vince, the costs of returning goods to us will be borne by you, except in the event the return is caused by an error on our part or a manufacturing defect.

 

    7. Other than the direct cost to you of the merchandise purchased and accepted for return by us, we have no obligation to you for any damages arising from the need to return merchandise, including any loss of profits and any other consequential damages or losses.

 

    8. Any dispute arising out of or in connection with the purchase from and/or return of any merchandise to Vince, including any RMA is governed by the laws of the state of New York without regard to its conflicts of laws rules and you and Vince hereby consent to submit that dispute to the exclusive jurisdiction of the courts located in the borough of Manhattan, in the state of New York.
